1. Acceptance of terms
By accessing or using CTX.works and its services (the "Service"), you ("Customer", "you") agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
If you do not agree to these Terms, do not use the Service. Your continued use of the Service after any changes to the Terms constitutes acceptance of the revised Terms.
2. Service description
CTX.works provides a SaaS event operations platform comprising:
- EVlo — Event Transport Management: GPS-tracked trip management, vendor billing reconciliation, and coordinator dashboards.
- CTX-RSVP — Guest Response: AI-powered guest RSVP collection via WhatsApp, AI voice calls, and web forms.
- CTX-Stay — Accommodation Coordination: Hotel room block management, guest assignment, and hotel staff portal.
Each module is available as an independent subscription and may be combined in a bundled subscription. The specific features available depend on your chosen tier (Starter, Growth, or Scale) and billing model.
CTX.works reserves the right to modify, discontinue, or add features or modules with reasonable notice. Material changes to functionality that negatively impact your use will be communicated at least 30 days in advance.
3. Account registration
- You must provide accurate, complete, and current registration information including a valid email address and Indian mobile number.
- You are responsible for maintaining the security of your account credentials. CTX.works is not liable for any loss caused by unauthorised access using your credentials.
- Accounts are per-organisation (tenant). Multiple users may be added to an account within the limits of your tier.
- You must be at least 18 years of age to create an account.
- Each organisation may hold only one active trial per module at any time.
4. Fees and payment
4.1 Pricing
Fees are as published on the Pricing page at the time of subscription. All prices are in Indian Rupees (INR) and are exclusive of GST (18%) unless stated otherwise. Invoices will show base amount and GST separately.
4.2 Payment
- Payments are processed via Razorpay. Accepted methods: UPI AutoPay, credit/debit card, eNACH.
- For recurring subscriptions, you authorise CTX.works to charge your payment method on each billing date.
- For annual subscriptions, the full annual amount is charged upfront on the billing date.
- Overages (events beyond your plan's included quota) are billed at the end of each billing period.
- Add-ons may be charged as one-time orders or recurring charges depending on the add-on type.
4.3 Failed payments
If a payment fails, CTX.works will retry per Razorpay's retry schedule. After [PLACEHOLDER: number of retries] failed attempts, the subscription will be suspended and you will be notified. You have [PLACEHOLDER: number] days to update your payment method before the subscription is cancelled.
4.4 Taxes
You are responsible for all applicable taxes. CTX.works will issue GST-compliant invoices (CGST + SGST or IGST depending on your billing state). Provide your GSTIN at checkout to receive B2B invoices. [PLACEHOLDER: CTX.works' GST registration state — Karnataka assumed.]
5. Free trial period
- CTX.works offers a 14-calendar-day free trial for each module (once per organisation per module).
- Full feature access at the chosen tier is available during the trial at no charge.
- No credit card is required to start a trial. A payment mandate must be added before the trial ends.
- If no payment method is added by the end of the trial, the subscription status moves to TRIAL_EXPIRED and access is suspended after a 48-hour read-only grace period.
- CTX.works may terminate or suspend trials if misuse, fraud, or abuse is detected.
6. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable Indian or international laws.
- Upload or transmit malicious code, spam, or unauthorised bulk communications.
- Attempt to gain unauthorised access to any part of the platform, other tenants' data, or the underlying infrastructure.
- Reverse-engineer, decompile, or disassemble any part of the Service.
- Use the Service to conduct surveillance, stalk, harass, or harm any individual.
- Resell, sublicense, or make the Service available to third parties without written authorisation from CTX.works.
- Overload or disrupt the Service (DDoS attacks, excessive automated API calls beyond documented rate limits).
- Use the CTX-RSVP AI voice or WhatsApp features to contact individuals who have not consented to receive such communications from the event organizer.
CTX.works may immediately suspend access if it reasonably determines that the Customer is violating this section, with or without prior notice depending on severity.
7. Intellectual property
7.1 CTX.works IP
All rights in the CTX.works platform, software, design, trademarks, and documentation are and remain owned by CTX.works. These Terms do not grant you any ownership rights. You receive a limited, non-exclusive, non-transferable licence to use the Service for the duration of your subscription.
7.2 Customer data
You retain all rights to your event data, guest data, and any content you upload to the platform ("Customer Data"). You grant CTX.works a limited licence to use Customer Data solely to provide and improve the Service. CTX.works does not use Customer Data for training AI models without explicit written consent.
7.3 Feedback
If you provide feedback or suggestions about the Service, CTX.works may use this feedback without restriction or compensation to you.
8. Data processing
CTX.works processes personal data as described in our Privacy Policy. For customers subject to the DPDP Act 2023 and processing guest personal data through CTX-RSVP, CTX.works acts as a Data Processor on your behalf.

9. Confidentiality
Each party agrees to keep the other party's confidential information (including pricing not publicly disclosed, technical specifications, and customer data) confidential and not to disclose it to third parties except as required by law or as necessary to provide the Service. This obligation survives termination of these Terms for 3 years.
10. Availability & SLA
CTX.works targets 99.5% monthly uptime for the core platform. Planned maintenance windows will be announced at least 24 hours in advance via email and/or status page. [PLACEHOLDER: status page URL.]
- Starter tier: no uptime SLA commitment.
- Growth tier: best-effort 99.5% uptime; email 24h support SLA.
- Scale tier: 99.5% uptime target; Dedicated Slack / phone support; incident response within 2 hours.
Downtime caused by events outside CTX.works' reasonable control (force majeure, third-party provider outages, acts of government) is excluded from SLA calculations.
11. Limitation of liability
To the maximum extent permitted by applicable law:
- CTX.works provides the Service on an "as is" and "as available" basis without warranties of merchantability, fitness for a particular purpose, or non-infringement.
- CTX.works is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, or revenue.
- CTX.works' total aggregate liability to you arising from or related to these Terms or the Service is limited to the amounts you paid CTX.works in the 12 months immediately preceding the claim.
- Some jurisdictions do not allow limitation of liability for certain types of damages; in such cases, our liability is limited to the maximum extent permitted by law.
12. Indemnification
You agree to indemnify and hold harmless CTX.works, its officers, employees, and agents from any claims, damages, liabilities, and costs (including reasonable legal fees) arising from:
- Your use of the Service in violation of these Terms.
- Your Customer Data, including any claims by third parties (e.g. guests) that their personal data was collected without lawful basis.
- Your violation of any applicable laws or third-party rights.
13. Termination
13.1 Termination by you
You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period. Your access continues until the period end. Refer to the Refund Policy for refund eligibility.
13.2 Termination by CTX.works
CTX.works may terminate or suspend your account for material breach of these Terms, non-payment, or misuse. For non-payment and non-material breach, we will provide 7 days' written notice and an opportunity to cure. For serious violations (fraud, illegal activity, data breach caused by misuse), suspension may be immediate.
13.3 Effect of termination
Upon termination: (a) your right to access the Service ceases; (b) you have 30 days to export your data; (c) after 30 days, Customer Data is deleted; (d) billing records are retained for 7 years as required by Indian tax law.
14. Changes to terms
CTX.works may modify these Terms. Material changes will be communicated to account holders by email at least 30 days before the effective date. For non-material changes (e.g. clarifications, formatting), we will update the "Last updated" date and the new Terms take effect immediately. Continued use of the Service after the effective date constitutes acceptance.
15. Governing law
These Terms are governed by and construed in accordance with the laws of Karnataka, India. The parties submit to the exclusive jurisdiction of the courts of Bangalore, Karnataka for all disputes arising from or related to these Terms or the Service.
16. Dispute resolution
Before initiating any formal legal proceedings, the parties agree to attempt good-faith resolution of any dispute by negotiation for at least 30 days from written notice of the dispute.
If negotiation fails, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996 (India), with the seat of arbitration in Bangalore. [PLACEHOLDER: Arbitration institution and rules — e.g. DIAC or IIAM — to be specified by legal counsel.]
Notwithstanding the above, either party may seek urgent injunctive or other equitable relief from the courts of Bangalore.
17. Miscellaneous
- Entire agreement: These Terms (including the Privacy Policy and Refund Policy incorporated by reference) constitute the entire agreement between you and CTX.works.
- Severability: If any provision is found unenforceable, it is severed; the remaining provisions remain in effect.
- Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
- Assignment: You may not assign these Terms without CTX.works' prior written consent. CTX.works may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force majeure: Neither party is liable for delay or failure to perform obligations caused by events beyond reasonable control.
- Language: These Terms are in English. In case of translation, the English version prevails.
